The information and data contained on this site is made available electronically (“electronic information”) by ________________________ (“Licensor”) is protected by copyright and other intellectual property and proprietary rights laws. The electronic information and any printed version of Licensor’s materials are licensed for your personal use only.
You may make one (1) computer storage copy and one (1) print copy of the electronic information solely for your personal use. You may not store the electronic information in machine-readable form for more than ninety (90) days and may only download excerpts on an ad hoc (not a systematic) basis. You shall reproduce Licensor’s Copyright Notice on any downloaded electronic information. Without limiting the generality of the foregoing, you agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or otherwise circulate the electronic information, or copies thereof, to anyone, including but not limited to others inside or outside your company or organization, at any location, without the express prior written consent of Licensor
The electronic information shall remain valuable intellectual property exclusively owned by Licensor. No proprietary rights are being transferred to users in such materials or in any of the information contained therein. Misappropriation or misuse of such materials may cause serious damage to Licensor and, in such event, money damages may not constitute sufficient compensation to Licensor. In the event of misappropriation or misuse of the electronic information, Licensor shall be entitled to obtain injunctive relief.
Neither Licensor nor any of its affiliates, subsidiaries, licensees or representatives makes any warranties, express or implied, as to the accuracy, adequacy or completeness of any of the information contained in the electronic information identified above. All such materials are provided to Users on an “as-is” basis, without any warranties as to merchantability or fitness for a particular purpose or use or with respect to results which may be obtained from the use of such materials. Neither Licensor nor its affiliates, subsidiaries, licensees or representatives shall have any responsibility or liability for any errors or omissions nor shall they be liable for any damages, whether direct or indirect, special or consequential, including loss of profits, even if they have been advised of the possibility of such damages. In no event shall the liability of Licensor or any of its affiliates subsidiaries, licensees or representatives pursuant to any cause of action, whether in contract, tort, or otherwise, exceed the average monthly fee paid by use a user for access to such materials in the month in which such cause of action is alleged to have arisen. Furthermore, neither Licensor nor any of its affiliates, subsidiaries, licensees or representatives shall have any responsibility or liability for delays or failures due to circumstances beyond their control.
This Agreement shall be governed by the laws of the United States and the state of ________ , without regard to its conflict of laws rules, and User hereby expressly consents to personal jurisdiction and venue in the ________ state or federal District Courts in respect to any disputes in connection with this Agreement.
This Server and its contents are the property of Licensor. Any hypertext links and/or graphic images associated with any document on this server are either the property of Licensor, in the Public Domain, or are provided by prior arrangement between Licensor and an affiliated information provider. Neither Licensor nor any affiliate, subsidiary, affiliate, licensee or representative thereof will be responsible for third party material appearing on Server. Licensor exclusively retains the rights to remove any messages or material that Licensor in its sole discretion, deems to be abusive, defamatory, obscene, offensive or otherwise unacceptable.
