The undersigned person(s) of the age of 18 years or more, acting as organizers of a limited liability company

DISCLOSURE OF COMPANY ACTIVITIES USING THE
NORTH AMERICAN INDUSTRY CLASSIFICATION SYSTEM
(NAICS)

A separate disclosure of company activities must be attached to the Articles of Organization which most closely
describes the activities in which the company will initially engage. The code must not conflict with the purpose
stated in Article 2.

Each type of business structure has advantages and disadvantages. If you have questions on the form of
business that is best for your particular business, a qualified tax consultant or attorney can advise you.

A limited liability company (LLC) is an unincorporated association having one or more members. The LLC can
be managed by managers or members. Managers can be but are not required to be members. It must be
stated in the articles of organization if the limited liability company is to be managed by managers. Managers
could be compared to the board of directors, and members are like the shareholders of a corporation or
limited partners of a limited partnership. In order to be a member of a limited liability company, a contribution
such as cash, property, or services rendered must be made.

The internal affairs of the LLC are governed by operating agreements that may be oral or written. These
operating agreements are comparable to the bylaws of a corporation. The members manage the internal
affairs, unless the articles of organization specifically state that one or more managers shall manage them.
Operating agreements are not filed with this division.

Limited liability companies organized under Alaska statutes are “domestic” limited liability companies.
Statutes relating to LLCs can be found in Alaska Statutes 10.50, Alaska Revised Limited Liability Company
Act.

Those formed under the laws of other states, but transacting business in Alaska, are “foreign” limited liability
companies.

Initial Report and Biennial Reports
After you have organized your LLC it is your responsibility to file the initial report within 6 months of
organization. In addition, you will be required to file a biennial report on January 2nd of every even numbered
year if you organized in an even numbered year, or every January 2 of every odd numbered year if you
organized in an odd numbered year. In the near future online filing of the biennial reports will be available.

Registered Agent
A limited liability company must have a registered agent in Alaska whose street address is the registered
office. When a limited liability company is sued, the legal papers are served on the registered agent. Thus, it
is necessary that the registered office have a street address listed if the mailing address is a post office box.
Both of these addresses must be in Alaska. A registered agent can be an individual who is a resident of
Alaska or a corporation in good standing with the State of Alaska Corporations Section. All domestic and
foreign LLCs registered in Alaska must maintain a registered agent. Each entity must notify the Corporations
Section in case of a change of the registered agent or the address of the registered agent. If the LLC fails to
maintain a registered agent, the LLC may be involuntarily dissolved.

After the Articles of Organization have been accepted and filed for record, a file stamped copy of the Articles
and a Certificate of Organization will be sent to the Registered Agent of the company unless an alternate
address is specified at the time of submittal.
